RULES OF THE CHALLENGE
Coöperatieve Rabobank U.A., Singapore Branch (hereinafter referred to as “Rabobank”), has decided to entrust Padang & Co (hereinafter referred to as the “Service Provider” or “Padang”), with the organization of the SustainableAg Asia (hereinafter referred to as the “Challenge”). The rules of the Challenge (the “Rules”) are set out below.
The Challenge shall take place from 1 August 2019 to 10 October 2019.
The Service Provider shall act in the name and on behalf of Rabobank as part of their assignment. Rabobank and the Service Provider shall be considered as the joint organizers of the Challenge (hereinafter jointly referred to as the “Organizers”).
Article 1 – DEFINITIONS
“Deliverables”: jointly refers to the Application and the Pitch Day Deliverable.
“Participant”: refers to any startup registered in accordance with the Rules who takes part in the Challenge.
Article 2 - PURPOSE OF THE RULES
2.1. Rules are intended to define the terms of participation in the Challenge organized by Rabobank in association with the Service Provider.
Article 3 - CONDITIONS FOR ENTERING THE CHALLENGE
3.1. Participation in this Challenge is free and without purchase obligation and can be subject to a reimbursement of participating costs in the conditions specified in Article 15.
3.2. By participating in the Challenge, the Participant will have read these Rules, and fully accept their terms in their entirety without reservation.
3.3. There is only one entry per Participant in the Challenge.
3.4. Any Participant who does not abide by the terms of the Rules at any time during the Challenge will be automatically disqualified from the Challenge.
Article 4 - REGISTRATION AND ACCESS TO THE CHALLENGE
4.1. To register for the Challenge, the Participant must complete an online application (“Application”) to SustainableAg Asia Challenge by Rabobank (2019) found on Gust on or before 2359 hours Singapore time on 1 September 2019.
4.2. Any Application containing incomplete information will not be accepted for registration.
4.3. The Participant agrees to be contacted through emails sent by the Organizers during its participation in the Challenge. The Participant also agrees to be contacted by phone.
Article 5 - DURATION OF THE CHALLENGE
5.1. The Challenge shall take place from 1 August 2019 to 10 October 2019.
5.2. Every date clearly defined in these Rules is in the Singapore time zone (GMT +8).
5.3. The Organizers reserve the right to alter the duration of the Challenge, and Participants will be informed through the Challenge Microsite.
Article 6 - PROCESS OF THE CHALLENGE
6.1. The Challenge is divided in 3 rounds:
Round One: this stage ends with the announcement of the selection of 15 Round Two Participants on 12 September 2019;
Round Two: this stage ends with the selection of the Top 5 as well as the Winners on Pitch Day on 10 October 2019;
6.2. In each of these rounds, the following criteria are considered:
Product/Solution - Product-Solution Fit, Innovation, Validation/Traction
Business Model - Soundness, Scalability, Financial Viability
Market Opportunity - Market Size, Competitive Landscape
Team - Skills and Capacity, Domain Expertise and Experience
Impact - Relevance to Challenges, Impact to Value Chain, Empowerment of Smallholder Farmers
6.3. A Round One Jury, composed of qualified members of Padang, Rabobank, Rabobank Foundation, and/or Partners, will select fifteen (15) Participants to proceed to Round Two (the “Round Two Participants”) on the basis of the Application.
6.4. A Round Two Jury composed of qualified members of Rabobank, Rabobank Foundation and/or Partners, will select the top Five (5) as well as the Winners on the basis of the Pitch Day Deliverable (see below) and pitch delivery.
6.6. The Service Provider will, via an email sent to the address entered at the time of registration on the Challenge Microsite, inform all Participants of the Round One results by 12 September 2019 and of the Round Two results by 10 October 2019. The Organizers will be free to alter the dates on which results are released should this become necessary due to the number of Participants to be assessed.
6.7. Each Round Two Participant or Finalist must respond to the email sent by the Service Provider announcing their qualification before the deadline specified in the message. In the event that the Participant does not reply within the stated deadline, the Organizers reserve the right to disqualify the Participant.
Article 7 - COMPOSITION OF THE CHALLENGE
7.1. The Challenge consists of making the following three (3) Deliverables:
The Application mentioned in Article 8
The Pitch Day Deliverable mentioned in Article 9
7.2. All Deliverables must be written in English. While the Organizers will attempt to accommodate Deliverables in Chinese, they reserve the right not to consider a Deliverable in any another language than English.
Article 8 - ROUND ONE PROCEDURE
8.1. Round One is scheduled from 1 August 2019 until 12 September 2019, and ends with the announcement of the fifteen (15) Round Two Participants.
8.2. The determination of the Round Two Participants by the Round One Jury will be based on the assessment of the Participants’ responses to the Application in accordance with Article 11.
8.3. The announcement of the Round Two Participants will take place on 12 September 2019.
Article 9 - ROUND TWO PROCEDURE
9.1. Round Two is scheduled from 13 September 2019 until 10 October 2019, and ends on Pitch Day.
9.2. Only Round Two Participants will be able to attend and compete on Pitch Day.
9.3. The Top Five (5) will be selected by Round Two Jury, based on the assessment of the Pitch Day Deliverables, and on their pitch delivery on the day itself, in accordance with Article 11.
9.4. Round Two Participants should send their Pitch Day Deliverable before 7 October 2019 (2359 Singapore time).
9.5. The expected characteristics of the Pitch Day Deliverable (content, format, etc…) will be shared with the Round Two Participants on 12 September 2019.
Article 10 - CHARACTERISTIC FEATURES OF THE DELIVERABLES
10.1. Deliverables must be sent in a common digital format such as DOC/DOCX/PDF/PPT/PPTX/KEY/ODT/MP3/MPEG/MOV/MP4 and be written in English or Chinese.
10.2. In case of difficulties or failures to read the Deliverables, the relevant Participant will be notified and have the responsibility to re-submit it within 12 hours of the notification being sent out by the Service Provider.
10.3. Each Participant undertakes that the content of the Deliverables, and any other additional document submitted for the purpose of the Challenge is produced by itself; if it is found that the content has been plagiarised, the Participant will be disqualified.
10.4. The use of photos or images must be free copyright. In any case, the Organizers will not be held responsible for the use of documents on which third parties have rights.
Article 11 – AWARDS
11.1. The Awards for each of the Top 5 will include a cash prize (out of a total cash pool of USD20,000) as well as an invitation to Rabobank’s annual Food & Agribusiness Advisory Board Meeting which convenes the C-suite of Asia’s largest food & agribusiness corporates, hosted by Rabobank in Shanghai, China, on 31 Oct 2019.
11.2. The Awards referred to in this Article are awarded in consideration of:
The quality of the Deliverables as determined by the various Juries;
Acceptance by the Winner of Article 13 on Intellectual Property for the Winner;
Acceptance by the Winner of Article 14 on use of Winner’s information.
11.3. The Awards are not transferable.
11.4. The Top Five will be informed of their awards on Pitch Day
11.5. The Organizers reserve the right to award additional prizes, of a nature which will be detailed on the Challenge Microsite, without prejudice to the Winner of the Award.
Article 12 - INTELLECTUAL PROPERTY
12.1 By participating in this Challenge, the Participant has consented to the disclosure of the Deliverables to the Organizers and persons associated with the Challenge including but not limited to members of the Round One Jury and Round Two Jury and to the publication of information relating to the Deliverables on various media platforms including social media platforms.
12.2 The Participant warrants that any and all of the copyright, patents, trademarks, design rights, knowhow and other intellectual property and proprietary rights subsisting in or used in connection with the Deliverables (“Intellectual Property Rights”) is and remain the sole property of the Participant.
12.3 The Participant shall indemnify, defend and hold harmless the Organizers against any and all claims, suits, losses, damages, costs, fees, and expenses arising out of or in connection with the Intellectual Property Rights.
12.4 Nothing in these Rules constitute a license of the Intellectual Property Rights by the Participant to the Organizers.
Article 13 – COMMUNICATION
13.1. Participants authorise the Organizers to reproduce their trademark and their registered business names free of charge on communication materials about the Challenge including but not limited to the Service Provider’s or Rabobank’s intranet and external websites, email signatures/newsletters, press releases, posters/banners at trade fairs, and on various social media platforms.
Article 14 – TRAVEL COSTS
14.1. Rabobank will provide a travel grant of up to SGD1000 to each Round Two Participant not residing in Singapore to cover visa application, flights and accommodation expenses to attend Pitch Day in Singapore on 10 October 2019.
14.2. The travel grant will be paid only after a Round Two Participant has attended the event.
14.3. Any cost in excess of SGD1000 incurred during any of the trips to the Pitch Day or Finale events will be covered by the participants themselves. Rabobank shall not be held liable for the Participants’ travel expenses.
Article 15 – LIABILITY
15.1. The Organizers shall not be liable to the Participant for any loss, damage, cost or expense incurred or suffered by the Participant howsoever arising in connection with the Participant’s participation in the Challenge, whether virtually via the Challenge Microsite, or physically in person at the Pitch Day or the Finale, and including but not limited to the disclosure and publication of the Deliverables in connection with the Challenge.
Article 16 - PERSONAL DATA
16.1. Where the Participant has disclosed to the Organizers personal data of himself (where the Participant is a natural person) or of his representatives (where the Participant is a corporate entity), the Participant hereby gives his own consent, and confirms that, as required under the Personal Data Protection Act 2012 of Singapore, he has obtained from such persons their consent to the collection, use and disclosure by the Organizers of such personal data, for example, as mentioned in Article 4.
Article 17 – RULES
17.1 The Organizers reserve the right to modify the Rules at any time, without prior notification to the Participant. The Participant is invited to read the Rules, which are published on the Challenge Microsite, on a regular basis.
Article 18 - CANCELLATION AND SUSPENSION OF THE CHALLENGE
18.1 The Organizers and the Service Provider reserve the right to cancel, shorten, suspend the Challenge without prior notice.
Article 19 - APPLICABLE LAW
19.1 These Rules are governed by and construed in accordance with Singapore law. The Organizers and the Participant submit to the exclusive jurisdiction of the Singapore courts.
